D2 Equity Capital is a private investment firm with significant transactional, financial and operating experience. The firm targets investments in lower-middle market businesses. D2 will invest in manufacturing, service and distribution businesses with an EBITDA of approximately $2-$10 million, and smaller companies with earnings below this range which are experiencing rapid growth. The array of industry segments fitting the criteria include industrial; aerospace and defense; oil and natural gas; engineered materials; clean-tech, including alternative energy, energy efficiency and water-related sectors; business services; consumer products, and other segments where the experience of the D2/Freestyle principals can be applied. D2 prefers companies headquartered in the eleven western U.S. states and Texas that serve North American or global markets. D2 has established a formal strategic relationship with Freestyle Investors, a family office also located in San Diego, which invests significant capital resources across multiple asset categories. The firm is generally interested in companies with annual revenues in the range of $10 to $50 million. D2, in conjunction with its equity partner, Freestyle Capital, has the ability to invest equity of $3 to $20 million per transaction. D2 is pursuing transactions in the following structures: Majority and minority recapitalization investments in private companies, growth capital investments in private companies, consolidation of a fragmented industry by acquisition, and acquisition of small public company corporate divestitures. Combined revenues of the portfolio investments described are in excess of $2.5 billion. The portfolio represents a total of 46 transactions, including add-on acquisitions.
